At SII, business ethics and integrity are not merely obligations: they are guiding principles that shape the way we work together and make decisions. Being a responsible company is not just about complying with the law; it means embracing a culture of transparency, respect, and exemplary conduct in everything we do.

It is in this spirit that we apply a zero-tolerance policy towards any form of corruption or fraud. This commitment is underpinned by preventive measures, appropriate controls, and regular awareness-raising amongst our teams.

We also ensure compliance with fair competition rules across all our activities. Guaranteeing healthy and fair competition is essential to maintaining the trust of our customers, partners, and employees.

Our objective is clear: to provide an exemplary working environment, protect our business, and strengthen the Group’s credibility by acting with integrity wherever we operate.

A challenging environment that demands the highest ethical standards

To put our commitments into practice, SII relies on a structured framework shared across the entire Group:

  • an Anti-Corruption Code of Conduct, which sets out the essential rules and reaffirms our zero-tolerance policy;

  • mandatory training, to ensure staff develop the right reflexes;

  • a Group Ethics Committee, which ensures the consistent application of the ethics policy;

  • a network of ethics representatives and local committees within the subsidiaries;

  • a secure whistleblowing platform, enabling any non-compliant situation to be reported in complete confidentiality.

This common framework enables us to pursue a consistent, responsible, and globally applied ethical approach.

Stronger ethical standards under the SAPIN II Act

The Group’s ethical approach is fully in line with the spirit of the Sapin II Act, which strengthens transparency and the prevention of corruption.

SII implements measures for prevention, detection, and risk control, in line with European and international standards.

The SII Ethics Policy formalises these requirements and provides a clear framework to guide everyone’s conduct.

Because ethics lies at the heart of our values, it requires everyone’s commitment and guides our interactions with our employees, partners, and stakeholders.

The Anti-Corruption Code of Conduct sets out the key rules for conducting business in an ethical manner.

As an extension of the SII Ethics Charter, it provides guidance and practical advice to support employees in their decision-making and professional interactions.

The SII Group Ethics Committee oversees the Group’s ethical framework at an international level.

It comprises three members, one of whom is an external, independent member.

Its main responsibilities are:

  • to examine and handle reports whilst ensuring strict confidentiality;

  • to monitor regulatory and standards developments;

  • disseminating the ethical framework to local representatives;

  • ensuring the proper application of the Group’s Ethics Policy, both in France and within subsidiaries;

  • supporting entities in the implementation of ethical principles;

  • ensuring training or awareness-raising for all employees.

SII has set up a whistleblowing scheme designed to prevent and detect any behaviour that contravenes our principles.
The secure platform allows reports to be made in complete confidence and enables direct communication with members of the Ethics Committee.
Reports must be made in good faith, in accordance with the values of integrity and transparency.
Additional internal channels are also available: line management, human resources, and staff representatives.

An FAQ and a user guide are provided to assist employees.

SII runs a specific training programme aimed at employees most exposed to the risk of corruption, based on the nature of their roles and their interactions with third parties. This dedicated module enables them to gain a thorough understanding of the ethical issues associated with their responsibilities.
All training courses are accessible via the internal e-learning platform, ensuring consistent delivery and easy access to the learning materials.

A second module, integrated into the induction programme, is offered to all new recruits to introduce them to the fundamental principles of SII’s ethics policy from the moment they take up their post.
In addition, SII regularly runs internal communication campaigns to remind staff of key rules, encourage good practices, and maintain a high level of vigilance across the Group.
